These Terms of Service ("Terms") govern your access to and use of the website located at botless.systems (the "Site"), operated by Botless Systems ("Botless," "we," "us," or "our"). Please read these Terms carefully. By using the Site, you agree to these Terms.

Important: These Terms govern your use of the Site only. If you engage Botless to design, build, or deliver services, that engagement is governed by a separate written Statement of Work or services agreement ("SOW"). In the event of a conflict between these Terms and an executed SOW, the SOW controls for matters within its scope.

1. Acceptance of Terms

By accessing the Site, submitting a contact form, interacting with our chatbot, or otherwise using the Site, you represent that you are at least 18 years old and have authority to enter into these Terms on your own behalf or on behalf of the entity you represent. If you do not agree, do not use the Site.

2. Description of Service

The Site is an informational and marketing resource describing Botless's digital agency services, including web design, search engine optimization, and custom software development. The Site allows prospective clients to learn about our offerings, view examples of our work, and initiate contact via forms and a chatbot. The Site does not sell services, accept payment, or form a binding service agreement. Any pricing, scope, timeline, or deliverable ranges shown on the Site are estimates for illustrative purposes only; final terms are set in an executed SOW.

3. Intellectual Property

All content on the Site — including text, graphics, logos, images, code, design, layout, copy, case studies, and the "Botless" and "Botless Systems" names and marks — is owned by Botless or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may view and share the Site for lawful, non-commercial informational purposes. You may not copy, reproduce, republish, scrape, frame, resell, or create derivative works from Site content without our prior written permission.

Nothing in these Terms assigns or transfers ownership of any intellectual property in services we may deliver to you as a client; that subject matter is governed exclusively by the applicable SOW.

4. User Submissions

When you submit information through a contact form, chatbot, email, or other channel on the Site ("Submissions"), you grant Botless a non-exclusive, worldwide, royalty-free, irrevocable license to read, store, process, and respond to your Submission for the purpose of evaluating your inquiry, communicating with you, and improving our services. You represent that your Submission does not infringe any third party's rights and is not confidential unless we have a separate written NDA in place.

Please do not submit sensitive personal information, trade secrets, protected health information, or confidential business data through the Site. For confidential discussions, request an NDA before sharing.

5. Acceptable Use

You agree not to:

Use the Site in violation of any applicable law or regulation;
Submit false, misleading, or impersonating information;
Transmit malware, exploit vulnerabilities, attempt unauthorized access, or interfere with Site operation;
Scrape, crawl, or harvest Site content or data using automated tools without our written permission;
Use the chatbot or forms to send spam, harassment, or unlawful content;
Reverse engineer or attempt to derive source code from any Site functionality.

We may refuse service, block access, or remove Submissions at our sole discretion, with or without notice.

6. Disclaimers

THE SITE AND ALL CONTENT, INCLUDING CHATBOT RESPONSES, CASE STUDIES, PRICING ESTIMATES, AND INFORMATIONAL MATERIAL, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BOTLESS DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY.

Chatbot responses are automated and may be inaccurate, incomplete, or out of date. Do not rely on Site content as legal, financial, technical, or professional advice. Pricing ranges shown are illustrative and non-binding; actual pricing is quoted in a written SOW after a discovery call.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BOTLESS AND ITS OWNERS, OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BOTLESS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US $100). This cap does not limit liability for gross negligence, willful misconduct, or fraud where such limitation is prohibited by California Civil Code §1668. This cap applies only to Site‑usage claims and does not limit or define liability under any separately executed SOW.

8. Indemnification

You agree to defend, indemnify, and hold harmless Botless and its personnel from and against any third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising out of: (a) your violation of these Terms; (b) your Submissions; (c) your misuse of the Site; or (d) your violation of any law or third-party right in connection with your use of the Site.

9. Third-Party Links and Services

The Site may contain links to third-party websites, embedded services (such as analytics, chatbot infrastructure, or form providers), or external content. Botless does not control and is not responsible for third-party content, services, or privacy practices. Your use of third-party services is governed by their own terms.

10. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

11. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. You and Botless agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction and venue of those courts.

12. Dispute Resolution

Before filing any claim, you agree to first contact Botless at request@botless.systems and attempt in good faith to resolve the dispute informally for at least thirty (30) days. If the dispute is not resolved within that period, either party may pursue available remedies in the courts identified in Section 11.

13. No Class Actions

To the fullest extent permitted by law, any dispute shall be brought in your individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. If this provision is found unenforceable as to any claim, it shall be severed and the remainder of these Terms shall remain in effect.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised Terms on this page and update the "Last Updated" date. Material changes will be announced by a prominent notice on the Site for at least thirty (30) days. Your continued use of the Site after the effective date of revised Terms constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Site.

15. Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections 3, 4, 6, 7, 8, 11, 12, 13, and 16 survive termination.

16. Miscellaneous

These Terms, together with the Privacy Policy and any applicable SOW, constitute the entire agreement between you and Botless regarding use of the Site. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. These Terms do not create any agency, partnership, or employment relationship.
